Terms and Conditions

This Terms and Conditions (T&C) agreement is designed to be formal, legally rigorous, and specific to the "marketplace" model of ValueFinders. It establishes the Platform as an intermediary, not an employer, which is critical for your liability protection.

1. THE CONTRACTUAL RELATIONSHIP These Terms and Conditions (“Terms”) govern the access and use of the ValueFinders mobile application and website (the “Platform”) provided by ValueFinders Ltd (“the Company”). PLEASE READ THESE TERMS CAREFULLY. By accessing the Platform, you agree to be bound by these Terms. If you do not agree, you may not access or use the services. These Terms supersede any prior agreements or arrangements with you.

2. DESCRIPTION OF SERVICES ValueFinders provides a digital marketplace that connects independent service providers (“Artisans”) with individuals or entities seeking services (“Clients”).
* The Company does not provide artisan services.
* The Company is not an employer of Artisans. All artisan services are provided by independent third-party contractors who are not employees, agents, or partners of ValueFinders.

3. USER ACCOUNTS AND RESPONSIBILITIES
* Eligibility: You must be at least 18 years of age to maintain an account.
* Accuracy: Users must provide accurate, current, and complete information during registration.
* Security: You are responsible for maintaining the confidentiality of your account credentials. You agree to notify ValueFinders immediately of any unauthorized use of your account.
* Prohibited Conduct: Users shall not use the Platform for any fraudulent, unlawful, or predatory activity.

4. ARTISAN REPRESENTATIONS AND WARRANTIES Artisans using the Platform represent and warrant that:
* They possess the necessary skills, certifications, and licenses to perform the services offered.
* All work performed shall be of professional quality and comply with industry standards.
* They are responsible for their own taxes, insurance, and compliance with Nigerian labor laws.

5. PAYMENTS, FEES, AND CANCELLATIONS
* Service Fees: ValueFinders charges a commission or service fee for facilitating the connection. This fee is non-refundable unless otherwise stated.
* Payment Processing: Payments are made via integrated third-party gateways. Clients agree to pay the total quoted price upon completion of the service (or as otherwise structured in the app).
* Cancellations: Users may be subject to a cancellation fee if a booking is cancelled within a specific window of the scheduled start time.

6. LIMITATION OF LIABILITY To the maximum extent permitted by law, ValueFinders shall not be liable for:
* Any indirect, incidental, special, or consequential damages.
* The conduct, actions, or omissions of any Artisan or Client.
* Personal injury, property damage, or theft resulting from a service encounter initiated via the Platform.
* The quality, safety, or legality of the services provided by Artisans.

7. DISPUTE RESOLUTION
* Between Users: ValueFinders may, at its discretion, offer a dispute mediation service but is not legally obligated to resolve conflicts between Clients and Artisans.
* With the Company: Any dispute arising out of these Terms shall first be attempted to be settled through amicable negotiation. If unresolved, the dispute shall be referred to mediation or binding arbitration in accordance with the Arbitration and Mediation Act of Nigeria.

8. INTELLECTUAL PROPERTY The ValueFinders name, logo, and all software code are the exclusive property of ValueFinders Ltd. Users are granted a limited, non-exclusive, non-sublicensable license to use the Platform for its intended purpose.

9. TERMINATION ValueFinders reserves the right to suspend or terminate any account at its sole discretion, without notice, for conduct that violates these Terms or is harmful to the Platform’s reputation or other users.

10. GOVERNING LAW These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.

11. MODIFICATIONS ValueFinders reserves the right to amend these Terms at any time. Your continued use of the Platform following the posting of changes constitutes your acceptance of such changes.
